A non-disclosure agreement is a contract between at least two parties that specifies confidential information that the parties want to share with one another while also restricting access by third parties. Unfortunately, People who pay little attention to what they sign also frequently sign non-disclosure agreements. This is a problem because not all NDAs are equal.  Some don’t protect oral disclosures, some are one-way and don’t even protect YOUR disclosures, some expire before you start disclosing, and some permit the other party to do whatever they want with your trade secrets after a few years.
